Terms of Service (Public Offer)

This document is the official public offer of the Limited Liability Partnership “ADGICX.com” (ТОО «ADGICX.com», ADGICX.com LLP, BIN 260840029603), hereinafter the “Provider”, to enter into a services agreement on the terms below with any legally capable individual or legal entity, hereinafter the “User”. The agreement is concluded between the User and the Provider.

Under Articles 395 and 447 of the Civil Code of the Republic of Kazakhstan, the User fully and unconditionally accepts this offer by registering on adgicx.com (including its subdomains), by purchasing a Subscription to a paid Service, or by continuing to use the Platform.

1. Definitions

Platform — the ADGICX software available at adgicx.com, its subdomains, in ADGICX mobile apps and in ADGICX desktop programs.
Services — the digital services listed in Section 2, provided by Subscription.
Subscription — the right to use a selected paid Service for the paid period (one month). Each Service is subscribed to and paid for separately.
Account — the User's account on the Platform, linked to an email address.
Key — an access code that unlocks the paid modules of the Anomaly Detector program for the Subscription period.

2. Subject matter and Services

The Provider gives the User access to the following paid Services by Subscription:

Call — audio and video calls to an email address, without a phone number. If the person called is offline, they receive an email invitation.
Guardian Angel — monitoring through the User's own camera (laptop, phone or IP camera): when there is movement in the frame, the Platform saves a short clip and uses artificial intelligence to describe the event in words.
Digital Coworking — a workspace with a catalog of language models. Open models run on the Provider's equipment; models from other companies are used with the User's own access key obtained from their creator and under that creator's terms.
Anomaly Detector — a Windows program and an Android app built on G-sim: it learns the normal operation of the User's device and warns about unusual behaviour (overload, memory leaks, strange network activity). Paid modules are unlocked with a Key for the Subscription period.

The list of Services and prices is published on the Prices page of adgicx.com. The Provider may add new Services.

3. How the Services are provided

To use the Services the User creates an Account by signing in with Google or by confirming an email address.
A paid Service is available while the User has an active Subscription to it. Subscriptions are monthly and renew automatically until cancelled by the User.
The User may cancel a Subscription at any time; access remains until the end of the paid month, after which there is no renewal and no further charge.
The Services are provided electronically and remotely, in the Republic of Kazakhstan and other countries, except countries where sanctions restrictions prevent the provision of services.

4. Prices and payment

Each Service costs a monthly Subscription fee in US dollars:

Call — USD 5 per month;
Guardian Angel — USD 10 per month;
Digital Coworking — USD 5 per month;
Anomaly Detector — USD 5 per month per computer; USD 2 per month per phone.

The Provider may change prices. A new price is published on the website and applies to a Subscription from the next billing period after publication; a period already paid is not recalculated.

Payment through Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders paid through Paddle; Paddle calculates and remits applicable taxes (VAT, sales tax, etc.) and handles refund requests. Paddle's Buyer Terms (paddle.com/legal/buyer-terms) also apply to such payments.

Payment in the Republic of Kazakhstan. Users in Kazakhstan may pay in tenge through the Halyk ePay internet acquiring system of Halyk Bank of Kazakhstan JSC at the National Bank of Kazakhstan exchange rate on the payment date. The Provider is not a VAT payer in the Republic of Kazakhstan.

Payment is made by bank card; the Subscription fee is charged monthly until cancelled. A payment is considered made when the payment operator confirms it.

5. Payment security

Payments are processed by the payment operators (Paddle, Halyk Bank of Kazakhstan JSC) using 3D Secure and card network security standards. The Provider never receives or stores full card details. Connections to the Platform are protected by HTTPS.

6. Rights and obligations

The Provider shall keep the Platform running, charge Subscription fees correctly and protect personal data in accordance with the Privacy Policy.

The User shall provide accurate registration data, keep Account access and Keys confidential, pay Subscriptions on time and comply with Section 7.

7. Acceptable use

The User must not use the Platform:

for unlawful purposes, fraud, spam or deception;
to watch people without a lawful basis — a Guardian Angel User is responsible for having the right to record at the camera's location and for informing people in the frame where the law requires it;
to create illegal content, non-consensual sexual content, deepfakes of real people's images or voices, hateful or harassing content, malware, or to disclose other people's personal data (doxxing);
to infringe third-party intellectual property rights;
to interfere with the Platform: hacking, probing for vulnerabilities without permission, jailbreaking or bypassing model safeguards, bulk automated scraping, or distributing malware.

8. Artificial intelligence: accuracy and User responsibility

Guardian Angel event descriptions, Digital Coworking model answers and Anomaly Detector warnings are generated automatically and may be inaccurate or incomplete.
The Services are not security, medical, legal, financial or other professional services and do not replace emergency services. Decisions affecting life, health, safety or significant money remain under the User's own control.
The Anomaly Detector does not guarantee prevention of hardware failure or data loss.
The User is responsible for the content they upload and the prompts they enter, for having the rights to that content, and for how they use the output. Rights in output created by the User with the Platform belong to the User to the extent permitted by law and by the terms of the relevant model's creator.
The Provider may restrict or remove content that violates Section 7. Notices of infringement (including copyright) can be sent to zhomart@adgicx.com and are handled within a reasonable time.

9. Intellectual property

All rights in the Platform, its software, the G-sim technology, design, texts and ADGICX trademarks belong to the Provider. A Subscription grants the User a limited, non-exclusive, non-transferable right to use the Services during the Subscription and transfers no other rights.

10. Service level and liability

The Provider aims for continuous operation but does not guarantee that the Platform will be uninterrupted or error-free. The Provider is not liable for interruptions caused by force majeure, failures of communication networks or the User's equipment, or for third-party services, including other companies' models used with the User's key. The Provider's liability under the agreement is limited to the amount paid by the User for the Subscription in the last month, unless the law provides otherwise.

11. Suspension and termination

The Provider may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious violations of Section 7. The User may cancel Subscriptions and delete the Account at any time.

12. Refunds

Refunds and cancellations are governed by the Refund Policy, which forms an integral part of these terms. Within 14 days of any Subscription payment the User may request a full refund of that payment.

13. Personal data

Personal data is collected and processed under the Privacy Policy and the Law of the Republic of Kazakhstan “On Personal Data and Its Protection”. The Provider does not listen to or store the content of calls.

14. Governing law and disputes

The agreement is governed by the law of the Republic of Kazakhstan. Disputes are resolved by negotiation and, failing agreement, by the court at the Provider's location (Almaty). This does not deprive a consumer User of the rights granted by the law of their country of residence.

15. Term and changes

This offer is valid from publication on the website until withdrawn. The Provider may amend it; a new version takes effect on publication and, for active Subscriptions, from the next billing period. The current version is always available at adgicx.com/oferta (Russian) and adgicx.com/terms (English).
